Terms of Service

1. Eligibility and Account Responsibility

You must be able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@opzello.com if you suspect unauthorized use of your account.

2. Acceptable Use

You agree not to use the Service to:

• engage in or facilitate any illegal activity, including fraud, money laundering, or the sale of illegal goods or services;
• harass, threaten, defame, or abuse any person;
• infringe any patent, trademark, trade secret, copyright, or other intellectual property right;
• circumvent, disable, or otherwise interfere with the security or proper functioning of the Service;
• use the AI features to generate or facilitate content or activity that is unlawful, deceptive, or intended to harm others; or
• reverse engineer, scrape, or resell access to the Service without our written permission.

We reserve the right to investigate suspected violations of this section and to cooperate with law enforcement where illegal activity is suspected.

3. Enforcement and Termination

We may suspend or terminate your access to the Service, without refund, at any time and at our sole discretion, if we reasonably believe you have violated these Terms, including the Acceptable Use section above. We may also report illegal activity to the relevant authorities. You may cancel your subscription and stop using the Service at any time through your account settings.

4. Subscriptions and Billing

Paid plans are billed on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees. Fees are non-refundable except as required by law or as otherwise stated at the time of purchase. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

5. Your Content and Our Intellectual Property

You retain all rights to the work logs, meeting notes, goals, and other content you submit to the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide the Service to you, including sending relevant portions of it to our AI processing partner as described in our Privacy Policy. We and our licensors retain all rights to the Service itself, including its software, design, and branding.

6. AI Feature Disclaimer

The Service includes AI-generated analysis, suggestions, and strategy output. This output is generated automatically and may be incomplete, inaccurate, or unsuitable for your specific situation. You are solely responsible for evaluating and deciding whether and how to act on any AI-generated output. Opzello makes no warranty as to the accuracy or reliability of AI-generated content.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Opzello and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Opzello and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) Your Content; (b) your violation of these Terms, including the Acceptable Use section; or (c) your illegal or unauthorized use of the Service.

10. Governing Law

These Terms are governed by the laws of Bahrain, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Bahrain.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
